SoftBank to Early Repay $25.9B Bridge Loan for OpenAI Investment

SoftBank Group has announced it will early-repay $25.9 billion on September 15 to clear the remaining balance of a $40 billion bridge loan used to finance its massive investment in OpenAI. To replace the short-term debt, the Japanese conglomerate plans to issue $10 billion to $20 billion in high-yield bonds and has secured a $10 billion margin loan collateralized by its OpenAI shares. This massive financial restructuring highlights SoftBank's commitment to remaining at the center of the global AI boom despite heavy debt reliance. By transitioning from short-term bridge financing to long-term bonds and asset-backed loans, SoftBank aims to stabilize its balance sheet while maintaining its multi-billion-dollar commitment to OpenAI. The original $40 billion bridge loan was SoftBank's largest-ever pure US dollar-denominated debt and was initially set to mature in March. SoftBank representatives are meeting with investors in New York to gauge market interest in issuing high-yield junk bonds, which may also include a portion denominated in Euros.

## BACKGROUND

A bridge loan is a short-term financing method used by companies to satisfy immediate cash needs until longer-term financing solutions can be arranged. Margin loans allow borrowers to secure funds by using their existing stock equity as collateral, though they carry risks if the value of the underlying assets falls. SoftBank CFO Yoshimitsu Goto previously outlined a strategy to replace temporary loans with permanent financing, including syndicated bank loans, bond offerings, and asset sales.
