Schneider Electric to Acquire PTC for $22.6 Billion in Industrial AI Push
Schneider Electric has agreed to acquire U.S. industrial software vendor PTC in an all-cash transaction valued at approximately $22.6 billion ($205 per share), representing a premium of over 40%. The deal, expected to close in Q3 2027, aims to significantly expand Schneider's capabilities in industrial software, factory automation, and artificial intelligence. This mega-acquisition highlights how industrial infrastructure and energy management giants are aggressively integrating software and AI into their hardware ecosystems. The deal positions Schneider Electric to compete more directly with industrial automation leaders like Siemens amid a wave of factory modernization. The transaction is funded via bridge financing provided by Morgan Stanley and Société Générale, following Schneider's recent software acquisitions including Cognite for $3.1 billion and Shelly Group SE for €1.2 billion. PTC had previously been targeted by Autodesk for an acquisition in July 2023, but those talks were ultimately abandoned.
