Nscale Files for IPO with $103B Pipeline Heavily Dependent on Microsoft and Anthropic

UK AI infrastructure provider Nscale has filed an S-1 prospectus for a New York IPO targeting a valuation of up to $35 billion, revealing a $103 billion contract pipeline. However, 85% of this order volume comes from just two clients, Microsoft and Anthropic, while active binding contracts total only $2.6 billion as of August. The disclosures highlight severe customer concentration, uncommitted financing, and circular investment risks across the booming AI infrastructure sector. It reinforces concerns over potential valuation bubbles among specialized compute providers that rely heavily on debt financing and a handful of tech giants. Nscale reported H1 revenue of $140.6 million against a net loss of $1.02 billion, while Nvidia acts simultaneously as shareholder, GPU supplier, and guarantor for its debt obligations. Additionally, the $44.6 billion Anthropic agreement contains strict performance milestones and currently lacks binding financial commitments to construct its planned 8-gigawatt facility.

## BACKGROUND
