Marvell Announces $115 Billion Acquisition of Lumentum in Record Semiconductor Deal
Marvell Technology announced an all-stock acquisition of optical communications giant Lumentum for approximately $115 billion, marking the largest completed semiconductor merger on record. The transaction represents a 23.9% premium over Lumentum's share price prior to the rumors and is expected to close in the first half of 2028. This historic acquisition positions Marvell to dominate the rapidly growing AI data center market as infrastructure shifts from traditional copper cables to advanced optical interconnects. By securing in-house production capabilities for critical components like lasers and silicon photonics, Marvell significantly strengthens its competitive stance against rivals like Broadcom. Under the terms of the agreement, Lumentum shareholders will own about 33% of the combined company, while Marvell shareholders will retain 67%. The deal is projected to expand Marvell's addressable market to $550 billion and generate over $1 billion in annual cost synergies while immediately boosting non-GAAP earnings per share in the first year.
## BACKGROUND
As artificial intelligence model sizes and data traffic expand exponentially, traditional copper wiring faces severe performance bottlenecks in bandwidth, distance, and energy consumption. Consequently, the industry is pivoting toward optical interconnects and silicon photonics, which use light rather than electrical signals to transmit data at much higher speeds across data center networks.
